Cwallet Simple Earn Service Policy
1. Overview
1.1 The Simple Earn Service (the "Simple Earn Service" or "Service") is provided by Cwallet. This service is offered as a value-added service to Cwallet users, allowing them to earn returns by depositing digital assets into the Cwallet platform for fixed or flexible periods according to the terms and conditions of this Simple Earn User Agreement (the "Agreement").
1.2 Before using this Service, you should carefully read and comply with this Agreement. By using this Service, you confirm that you have read and accepted all the terms of this Agreement. Your use of this Service signifies your acknowledgment that you have read, understood, and agreed to this Agreement, which is legally binding on you.
1.3 This Agreement is supplemental to the Cwallet Terms of Service. In the event of any conflict or inconsistency between any provision of this Agreement and the Cwallet Terms of Service, this Agreement shall prevail to resolve such conflict or inconsistency. All provisions (including definitions) of the Cwallet Terms of Service that are not modified by this Agreement shall remain in full force and effect. Terms not defined in this Agreement shall have the meaning ascribed to them in the Cwallet Terms of Service.
2. General Provisions
2.1 This Service allows Cwallet users to deposit their digital assets into the Cwallet platform for a fixed or flexible period, enabling users to earn returns. The Cwallet platform supports subscription and redemption 24/7, subject to the terms and conditions of this Agreement.
2.2 Definitions related to the Service include:
- Principal: A certain amount of digital assets deposited into the user's account for the use of this Service.
- Redemption: The liquidation (full or partial) of assets within the Service.
- Returns: Interest or income that users may earn from depositing their digital assets in the Service.
- T Hours: Hours during a normal trading day based on the UTC+8 time zone.
3. Eligibility for Using the Service
3.1 You agree that Cwallet may hold your digital assets.
3.2 You also acknowledge and confirm that:
- You have agreed to comply with the Cwallet Terms of Service and are eligible and authorized to use the services outlined therein;
- This Agreement is binding on you if you use this Service;
- You possess the experience and risk tolerance required to use this Service and have the experience and knowledge necessary to engage in non-principal-protected digital asset products;
- You have the capability to operate on the internet;
- This Agreement and your use of this Service do not conflict with the laws of your country or region, and you agree to comply with the laws of your country or region;
- You are the legal and beneficial owner of all digital assets in your Cwallet account, and the source of your digital assets and fiat currency does not stem from illegal activities.
3.3 You further agree that:
- You will not use this Service for any prohibited business (as defined in the Cwallet Terms of Service), including but not limited to money laundering, terrorism financing, or fraud, or any other activities or businesses prohibited by law;
- You will not use this Service for any form of price manipulation, insider trading, market manipulation, market distortion, or any other malicious market misconduct.
3.4 You understand and accept the risks associated with using this Service as outlined in the Cwallet Terms of Service and acknowledge that you may suffer related losses. Such risks and losses include, but are not limited to:
- The inability to sell or exchange the digital assets deposited in this Service immediately, or losses incurred during exchange;
- Historical returns do not guarantee future returns. The expected returns displayed on the Cwallet platform are theoretical estimates and do not represent actual or guaranteed returns. Cwallet does not guarantee or promise any returns. Actual returns may differ from estimated or expected returns. Returns shall be calculated and distributed solely at Cwallet's discretion. Cwallet may deduct costs, fees, and expenses related to service operations from your actual returns to determine the final amount payable to you;
- Price fluctuations of digital assets and their derivatives may result in significant or total losses in a short period;
- The nature of digital assets means that technical difficulties encountered by Cwallet may prevent users from accessing or using their digital assets;
- Market risks may lead to the loss of digital assets;
- Cwallet may need to amend, remove, or change its terms or policies, including the terms of this Agreement, from time to time during your use of this Service. Any such actions may benefit or disadvantage users like you.
4. Use of the Service
4.1 Through the Cwallet platform, you may subscribe to and redeem products within this Service.
4.2 When you subscribe to this Service, your digital assets will be deposited into the Service. Once your digital assets are deposited into the Service, you cannot access, trade, sell, exchange, or otherwise use such assets until they are redeemed.
4.3 When subscribing to this Service, you may choose between a "Flexible" term or a "Fixed" term. For both "Flexible" and "Fixed" terms, you may redeem your order at any time, thereby withdrawing your digital assets from the Service.
4.4 Flexible Term:
- Returns are accumulated hourly and credited to your account. No returns are generated for partial hours. If your order matches during T Hours, the hourly return for T Hours will be accumulated from T Hour to T+1 Hour and credited after T+1 Hour.
- Flexible term subscriptions can be redeemed at any time. Any order redeemed within the hour will not earn returns for that hour.
4.5 Fixed Term:
- Normal Redemption: Returns are accumulated daily and credited to your account at the end of the term. No returns are generated for partial days.
- Early Redemption: During the staking process of fixed-term products, early redemption will result in the loss of accumulated returns. Cwallet will reclaim all generated interest.
4.6 Upon placing a redemption order on the Cwallet platform, the redeemed digital assets may be returned to your account either immediately or after a period, depending on various factors such as token type and market activity. You understand and acknowledge that you will not earn any returns nor be able to use the digital assets being redeemed from the moment the redemption order is placed until the digital assets are actually released to your account. You understand and accept that the time required for the release of digital assets may vary, during which the price of your digital assets may decline. Cwallet is not responsible for any losses resulting from such circumstances. The return time displayed on the Cwallet platform is the final time.
4.7 Cwallet reserves the right to introduce, impose, adjust, or cancel any subscription and redemption limits at its sole discretion while you are using the Service.
5. Suspension/Cancellation/Termination
5.1 Cwallet may, at its sole discretion, suspend, cancel, or terminate the Service or your use of the Service. The Cwallet Terms of Service list typical situations in which Cwallet may suspend, cancel, or terminate the Service. Without limiting the generality of the foregoing, such typical situations may include:
- Failure to provide additional information as requested by Cwallet to verify your identity or the source of funds;
- Compliance with a court order or any applicable laws and regulations;
- Compliance with any instruction or order from a governmental body or agency;
- Cwallet reasonably determines that any information you provided to Cwallet is incorrect, untrue, outdated, or incomplete; or
- Failure to promptly provide additional information as requested by us or failure to provide satisfactory additional information.
6. Liability
6.1 The Cwallet Terms of Service set forth circumstances under which Cwallet is not liable for any loss or liability you may incur. Without prejudice to these terms, such circumstances include:
- Inability to use the Service or issue instructions or execute transactions due to failure, delay, interruption, system unresponsiveness, delayed system response, or other abnormalities;
- Service suspension for maintenance;
- Inability to transmit data;
- Force majeure or accidents, such as typhoons, earthquakes, tsunamis, floods, epidemics, power outages, wars, riots, government actions, terrorist attacks, pandemics, or other such events;
- Service interruption or delay caused by hacking, computer viruses, technical adjustments or failures, website upgrades, banking issues, temporary closures due to government regulations, or other such events;
- Losses caused by technical problems that cannot be predicted or solved by existing technology;
- Losses caused by third parties;
- Losses caused by changes in applicable laws, regulations, or government, regulatory, or law enforcement orders.
You agree and accept that the above or any other reasons may lead to transaction anomalies, abnormal market and price fluctuations, market interruptions, and other unusual situations.
6.2 Cwallet reserves the right and sole discretion to refuse or cancel your instructions.
6.3 You agree and accept that Cwallet is not liable for any loss (including but not limited to any direct or indirect loss, actual loss, or loss of anticipated profits) resulting from the risks outlined in this Agreement or the Cwallet Terms of Service.
7. Technical Disclaimer
7.1 Cwallet may, from time to time, suspend your access to the Cwallet account, the Cwallet platform, the Service, and/or any other Cwallet services for regular and emergency maintenance. Cwallet will use reasonable efforts to ensure timely processing of transactions on the Cwallet platform but makes no representation or warranty regarding the time required to complete such maintenance.
7.2 Although Cwallet makes reasonable efforts to update information on the Cwallet platform, Cwallet makes no express or implied representation, warranty, or guarantee regarding the accuracy, completeness, or currency of the content on the Cwallet platform (including information related to the Service and any other Cwallet services).
7.3 You are responsible for obtaining the data network access required to use the Service. The network you use may affect the performance of the Service. You are responsible for any costs incurred for such access, including data or network provider fees. You are also responsible for acquiring and updating compatible hardware or devices to access and use the Service and any updates.
8. Amendments
8.1 Cwallet reserves the right to amend or supplement this Agreement from time to time. Such amendments shall become effective upon posting on the Cwallet platform or otherwise notifying you. If you do not agree to the amended Agreement, you must immediately stop using the Service. Continued use of the Service following such notification or posting shall be deemed your acceptance of the amended Agreement.
9. Governing Law and Dispute Resolution
9.1 This Agreement and any disputes related to it or the Service shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflicts of laws principles.
9.2 Any dispute, controversy, difference, or claim arising out of or relating to this Agreement, including the existence, validity, interpretation, performance, breach, or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
10. Miscellaneous
10.1 The headings in this Agreement are for convenience only and shall not affect its interpretation.
10.2 If any provision of this Agreement is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
10.3 No failure or delay by Cwallet in exercising any right or remedy provided under this Agreement or by law shall constitute a waiver of that or any other right or remedy.
10.4 Cwallet may assign or transfer its rights and obligations under this Agreement to a third party without your consent. You may not assign or transfer your rights or obligations under this Agreement without Cwallet's prior written consent.
10.5 This Agreement constitutes the entire agreement between you and Cwallet regarding the subject matter hereof and supersedes any prior or contemporaneous agreements, representations, or understandings between you and Cwallet, whether written or oral.
